Executive Summary

Company: Agra Dot Energy- Our Mission: To deploy a replicable “Waste-to-Value” blueprint that solves critical energy and agricultural challenges in developing nations while creating a powerful data engine to fuel the next generation of AI-driven sustainability.

The Problem: Developing nations face a devastating cycle: agricultural and municipal waste creates environmental hazards, while a lack of reliable, affordable energy stifles economic growth and prevents participation in the digital economy. Separately, the world of AI in agriculture is starved for high-quality, verifiable data from diverse environments.

Our Solution: Agra Energy develops and manages turn-key, project-financed sustainable infrastructure projects. Our flagship is a 10-acre plasma gasification facility in Uganda. This project is a blueprint:

  1. It converts waste (agricultural biomass, municipal solid waste) into clean, reliable energy. It powers local infrastructure, including new DePIN (Decentralized Physical Infrastructure Networks) campuses, enabling digital transformation. It generates a unique, invaluable asset: a continuous stream of operational data on energy production, waste conversion, and local agricultural inputs.

Our Unfair Advantage (The Data-to-Funding Flywheel): We are not just an energy developer; we are a data-monetization and project-acceleration platform. Our operational data is sold under an exclusive contract to our partner, DeReticular. This data serves as the “ground truth” for DeReticular’s AI agent, Thunder, to successfully secure millions in non-dilutive grant and ESG (Environmental, Social, Governance) funding to develop more projects. This creates a powerful, self-scaling loop.

Financial Highlights: Our model focuses on high-value project development fees and long-term data service contracts. We project achieving $4.9M in revenue by Year 3 with an exceptional 55% EBITDA margin, reflecting our capital-light, expertise-driven model.

The Ask: We are seeking $3 million in seed funding in exchange for a 20% equity stake. This capital is not for building the plant itself (which will be project-financed), but for the crucial pre-development costs required to unlock the larger financing: advanced engineering studies, legal frameworks, and scaling our grant development team.

Valuation: The requested financing implies a

12.0M pre−money valuation 15.0M post-money valuation.

This valuation is justified by the scale of the secured Uganda project, the significant intellectual property in our replicable "blueprint," our exclusive high-margin data contract, and our unique, defensible model for accelerating project funding.

Detailed Business Plan

1.0 Company DescriptionAgra Dot Energy is a sustainable infrastructure development company. We specialize in creating and managing “Waste-to-Value” projects in emerging markets, starting with a flagship 10-acre plasma gasification plant in Uganda. Our business model combines the development of physical energy assets with the creation and monetization of high-value operational data, which is used to accelerate the funding and deployment of future projects.

2.0 Market AnalysisThe target market is two-fold. The primary customer for our physical projects are governments, utilities, and communities in developing nations seeking solutions for waste management and energy poverty. The secondary, and highly lucrative, customer is the global market for ESG investment and the technology sector’s demand for unique agricultural and environmental data. We are uniquely positioned to serve both. The competitive landscape includes traditional energy developers and EPC (Engineering, Procurement, and Construction) firms. Our key differentiator is our integrated data-to-funding model and our focus on powering digital infrastructure (DePIN), which traditional developers overlook.

3.0 Organization & ManagementThe company will be led by a CEO with experience in international project development. The seed funding will support the hiring of two critical roles: a Head of Project Finance to structure the debt and equity for the Uganda project SPV (Special Purpose Vehicle), and an Agricultural Data Scientist to manage the data pipeline and interface with DeReticular.

4.0 Products and Services

  1. Project Development & Management: Our core service is delivering a turn-key energy project. Our revenue is a Development Fee, representing 8% of the total project CapEx (e.g., $3.2M on a $40M project), recognized over the 24-month development cycle. We will also secure a long-term Operations & Maintenance (O&M) contract post-commissioning.Data-as-a-Service (DaaS): An exclusive, recurring revenue contract with DeReticular for the stream of operational data from our projects.Grant & Sustainability Consulting: Our US-based entity will leverage its expertise and the “Thunder” framework to consult for other US agri-tech companies, helping them secure federal and state grants for a success fee.

5.0 Marketing & Sales StrategyOur customer acquisition strategy is not traditional marketing. It is high-level business development and capital raising.

  • Targeting Development Banks & ESG Funds: We will directly engage with institutions like the African Development Bank, the World Bank, and major ESG-focused private equity funds.Building Government Partnerships: Solidifying our relationship with Ugandan authorities to serve as a showcase for expansion into other African nations.Thought Leadership: Publishing white papers and speaking at climate tech and impact investing conferences on our innovative data-to-funding model.

6.0 Financial Plan

6.1 Key Assumptions:

  • The Uganda project has a total CapEx of $40M, which will be financed in a separate SPV (off our books).Agra Energy’s revenue is an 8% ($3.2M) Development Fee, recognized over 24 months, starting in Year 1.The Data Services contract with DeReticular starts at $250,000/year and scales. The US Grant Consulting business starts in Year 2 and secures $5M in grants for clients, earning a 6% success fee.Our costs are primarily the salaries of our highly skilled development, finance, and data science team.

6.2 Pro-Forma Income Statement (Simplified)

6.3 Financing RequirementsWe are seeking $3 million for a 20% equity stake. This seed capital is the essential catalyst required to make the Uganda project “bankable” and unlock the much larger project finance facility.

  • $1,500,000 (Pre-Development): To fund the bankable feasibility studies, geotechnical surveys, and advanced engineering designs required by lenders.$900,000 (Legal & Financial): To cover the legal costs of structuring the SPV, negotiating the Power Purchase Agreement (PPA), and securing the final project finance term sheet.$600,000 (Team & Runway): To hire the Head of Project Finance and Agricultural Data Scientist and provide 18 months of operational runway.

6.4 ValuationOur valuation is based on the tangible asset of the Uganda project agreement and the highly scalable, IP-driven nature of our model.

  • Pre-Money Valuation: $12,000,000Investment: $3,000,000Post-Money Valuation: $15,000,000

This valuation is justified by a 2.5x multiple on our projected Year 3 revenue, warranted by our high margins, deep IP in the “blueprint” model, and the unique, defensible data-to-funding flywheel that allows for rapid, capital-efficient scaling to future projects.

Agriculturally Produced Energy

Benefits of Agriculturally Produced Energy:

Reduced Land Use Competition: Agrivoltaics can help balance the need for food production and renewable energy generation by utilizing the same land area for both purposes

Agriculture can both produce and consume energy. It produces energy through biomass conversion (e.g., biofuels) and through the generation of electricity using solar panels (agrivoltaics) and wind turbines. Simultaneously, agriculture relies on energy for various processes like powering machinery, irrigation, and producing fertilizers.

Reduced Reliance on Fossil Fuels: Diversifying energy sources on farms helps reduce dependence on fossil fuels, which are a major source of greenhouse gas emissions.

Lower Energy Costs: Renewable energy technologies can significantly lower energy costs for farmers, making their operations more sustainable.

Diversified Income: Agrivoltaics and other energy production methods can create new income streams for farmers, improving their financial resilience.

Environmental Benefits: Renewable energy production can reduce air and water pollution associated with fossil fuels and promote sustainable land management.
